Terms and Conditions of User Agreement

The following terms and conditions of user agreement (hereinafter the “Terms and Conditions”) govern the use of the websites wolife.ca and wocamellia.ca (hereinafter “our Sites”). Our Sites are owned and operated by WO LIFE INC.. Throughout our Sites, the terms “we”, “us” and “our” refer to WO LIFE INC..

These Terms and Conditions shall be governed by, and construed and enforced in accordance with, the laws of the Province of Ontario, Canada, as well as Canadian Federal Law.

Conditions of Use

BY USING OUR SITES, YOU INDICATE THAT YOU ACCEPT ALL TERMS AND CONDITIONS, AND AGREE TO ABIDE BY THEM AT ALL TIMES.

PLEASE READ THE FOLLOWING TERMS AND CONDITIONS CAREFULLY BEFORE PURCHASING ANY PRODUCT FROM WO LIFE INC..

Usage of Our Sites

The information available on our Sites are provided on an “AS IS” basis by WO LIFE INC.. Our Sites are not intended to provide specific guidance for particular circumstances, and it should not be relied upon as the basis for any decision to take action or not take action on any matter which it covers. Users should obtain professional advice where appropriate, before making any of such decision. To the maximum extent permitted by law, WO LIFE INC. disclaims all responsibility and liability to any person, arising directly or indirectly from any person taking or not taking action based on the information on our Sites.

Customers purchasing products from WO LIFE INC. should have a clear understanding that the products are not intended nor be used as a substitute to diagnose, treat, cure or prevent any illness or disease. The information provided is obtained from reliable sources but makes no representation as to its comprehensiveness or accuracy. Product information and descriptions presented are for educational purposes only. It does not cover all possible uses, precautions, side effects and interactions. Our Sites are not intended to replace professional medical advice or treatment, nor to be relied upon when making important personal, medical, legal or financial decisions. Read the instructions carefully and follow the safety precautions completely when using WO LIFE INC.’s products. It is the responsibility of the customer to consult an appropriate health professional for medical advice, diagnosis, or therapy. WO LIFE INC. shall not be held responsible for any damages to property or for any adverse physical effects (including bodily harm or injury) caused by insufficient knowledge or the improper use of WO LIFE INC.’s products. The user of the product is solely responsible for compliance with all laws and regulations applying to the use of the products, including intellectual property rights of third parties.

Users may post photos and public comments on our Sites. Users giving product testimonials on our Sites reflect the actual experience of each individual, are anecdotal only, and may be atypical. If you provide information to our Sites, you agree to provide accurate, current and complete information about yourself. You also agree to maintain and update such information as appropriate. You represent and warrant that you own or otherwise control all the rights to the content that you post; that the content is accurate; that use of the content you provide does not violate the Terms and Conditions and will not cause injury to any person or entity; and that you will indemnify WO LIFE INC. for all claims resulting from the content you provide.

If you are dissatisfied with our Sites, or do not agree with the Terms and Conditions, your only course of action is to cease the use of our Sites.

As a user of our Sites, you agree to use our Sites legally, not to use our Sites for illegal purposes, not to violate the Terms and Conditions, and not to:

Harass or mistreat other users of our Sites;
Violate the rights of other users of our Sites;
Post any material that is abusive, defamatory or obscene;
Violate the copyright, trademark or other intellectual property rights of our Site owners or any third party of their sites;
Hack into the account of another user of our Sites;
Act in any way that could be considered fraudulent, deceptive, or misleading;
Post any material that may constitute or encourage a criminal offense, violate the rights of any party, or which may otherwise give rise to liability or violate any law;
Post any material that may be deemed inappropriate or offensive;
Upload commercial content or use our Sites to solicit others to join or become members of any other commercial online service or other organization; or
Post any content that is unacceptable to WO LIFE INC. in its sole discretion.

Harassment in any manner or form, or the use of abusive or obscene language on our Sites, including via email, social media or public comments, is strictly forbidden. If we believe you are using our Sites illegally or in a manner that violates these Terms and Conditions, we reserve the right to limit, suspend or terminate your access to our Sites, and the right to block or remove communications or materials that are offensive, unlawful or unacceptable as listed above. We also reserve the right to take any legal steps necessary to prevent you from accessing our Sites.

Limitation of Liability
By using our Sites, you accept ALL Terms and Conditions, and understand that your use of our Sites is at your own risk.

WO LIFE INC. and their respective owners, directors, officers, agents, employees, divisions, suppliers and third party partners will not be liable for any actions, claims, losses, injuries, damages, liabilities and expenses including legal fees from your use of our Sites.

Indemnity
Except where prohibited by law, by using our Sites you indemnify and hold harmless WO LIFE INC. and their respective owners, directors, officers, agents, employees, divisions, suppliers and third party partners from any actions, claims, losses, injuries, damages, liabilities and expenses including legal fees arising out of your use of our Sites, or your violation of the Terms and Conditions or any activity related to your account (including negligent or wrongful conduct) by you or any other person accessing our Sites using your Internet account. In the event of such a claim, you agree to allow WO LIFE INC. to defend the claim. If we make a claim for indemnification, you agree to seek and receive written permission from WO LIFE INC. before agreeing to settle or negotiate any claim or action. Please note this provision shall survive the termination of the Terms and Conditions, and remain in full force and effect.

Legal Compliance

You agree that the responsibility of complying with all relevant and applicable laws and statutes lies with you. Using our Sites serves as confirmation that you are complying, and will comply with, all applicable laws, ordinances or regulations of local, provincial, federal, and international governments related to your purchase and/or use of all information and products offered by WO LIFE INC..

Consumer Protection Law
Where the Consumer Protection Act, or any other consumer protection legislation in your jurisdiction applies and cannot be excluded, these Terms and Conditions will not limit your legal rights and remedies under that legislation. These Terms and Conditions will be read subject to the mandatory provisions of that legislation. If there is a conflict between these Terms and Conditions and that legislation, the mandatory provisions of the legislation will apply.

Intellectual Property
All content published and made available on our Sites is the property of WO LIFE INC. and our Sites’ creators, and is copyrighted as a collective work under Canadian and international copyright laws. This includes, but is not limited to images, graphics, text, logos, code, videos, documents, downloadable files and anything that contributes to the composition of our Sites. The compilation of all content made available on our Sites is protected by Copyright 2022-2023, WO LIFE INC., unless otherwise specified. All rights reserved.

All trademarks, trade names and logos used on our Sites are the trademarks of WO LIFE INC.. All other trademarks not owned by WO LIFE INC. that appear in any WO LIFE INC. products are the property of their respective owners, who may or may not be affiliated with or connected to WO LIFE INC.. You agree not to modify, rent, lease, loan, sell, distribute or create derivative works based on our Sites, in whole or in part, unless authorized to do so.

No part of our Sites may be reproduced, stored in a retrieval system, or transmitted, in any form, or by any means (electronic, mechanical, photocopying, recording, or otherwise), without prior written permission of both the copyright owner of our Sites, except by a reviewer who may quote brief passages or reproduce illustrations in a review with appropriate credits, or for the sole purpose of placing an order, purchasing products with WO LIFE INC., or solely for your own non-commercial use.

Third-Party Links

WO LIFE INC. may provide links to websites operated by third parties. WO LIFE INC. has no control over third party websites, even if the third party is affiliated to WO LIFE INC.. All the websites owned and operated independently of WO LIFE INC. have their own separate privacy and data collection policies. WO LIFE INC. accepts no responsibility or liability for the independent actions or policies of the third-party websites, and is not responsible for the content or practices of such websites. These websites are only for your reference or information, and WO LIFE INC. does not make any warranties regarding the accuracy, completeness, or reliability for the information contained in any linked third-party sites. You may access them at your own risk.

In addition, WO LIFE INC. should not be held liable for links to any page within our Sites, or for other website content from any website that makes claims as to the curative or health enhancing powers of any substance, whether or not such substance is produced, marketed, sold or distributed by WO LIFE INC..

Warranty Disclaimers

WO LIFE INC. provides the information, materials and products listed on our Sites “AS IS” and without any representations or warranties of any kind. All warranties whether express or implied, including, but not limited to the implied warranties of merchantability, fitness for a particular purpose, and non-infringement of property rights, and quality of any products described on our Sites, are hereby disclaimed to the fullest extent permitted by law.

Although WO LIFE INC. intend to take all reasonable steps to prevent the introduction of viruses and other harmful material, we do not warrant that our Sites will be uninterrupted, error-free, that defects will be corrected, or that our Sites or the server that makes our Sites available are free of viruses or other potentially harmful components. You assume full responsibility and risk of loss (including loss of data, such as personal information and credit card information) resulting from your use of our Sites.

WO LIFE INC. does not make any warranties or representations regarding the use of the materials on our Sites in terms of correctness, accuracy, adequacy, usefulness, timeliness and reliability or otherwise. WO LIFE INC. does not warrant, endorse, guarantee, or assume responsibility for the accuracy, reliability, and utility of information appearing on the Sites that has been supplied by third parties. WO LIFE INC. shall not accept any liability or responsibility for consequences that may arise due to the usage of such third-party content.

WO LIFE INC. does not make any warranties or representations regarding the availability of the products or convenience of the services provided by our Sites.

Typographical Errors or Graphical Distortions

In the event that a WO LIFE INC. product is mistakenly listed at an incorrect price or description, WO LIFE INC. reserves the right to refuse or cancel any orders placed for the product listed at the incorrect price. WO LIFE INC. reserves the right to refuse or cancel any such orders whether or not the order has been confirmed and your credit card charged. If your credit card has already been charged for the purchase and your order is cancelled, WO LIFE INC. shall issue a refund to your credit card account in the amount of the incorrect price.

The customer assumes responsibility for any missed discounts, for any reason, due to price changes that may occur irrespective of the time duration.

WO LIFE INC. shall not be liable for any technical inaccuracies, typographical errors or graphical distortions of the products listed. Changes are periodically added to the information herein; these changes will be incorporated in new editions of our Sites. WO LIFE INC. may make improvements and/or changes in the information, graphics and/or products described or displayed on our Sites at any time.

Force Majeure

If there is a default or delay in WO LIFE INC.’s performance of its obligations, and the default or delay is caused by circumstances beyond the reasonable control of WO LIFE INC. including fire, flood, earthquake, elements of nature, explosion, failure of the public power grid, damage to power or internet network infrastructure caused by third party, war, terrorism, revolution, civil or criminal strife, government decree, unlawful acts, civil commotion, cyber terrorism or warfare, acts of public enemies, strikes, threatened strikes, stoppage of work, slowdowns, picketing, boycotts, embargoes, failure of suppliers, requirement imposed by government regulations, civil or military authorities, acts of God, pandemics, epidemics, and similar occurrence commonly understood as force majeure events, then WO LIFE INC. shall not be liable for that default or delay.

Sale of Products

The Terms and Conditions apply to all the products that are displayed on our Sites at the time you access it. This includes all products listed as being out of stock. All information, descriptions, or images that we provide about our products are as accurate as possible. However, we are not legally bound by such information, descriptions, or images as we cannot guarantee the accuracy of all products we provide. You agree to purchase products from our Sites at your own risk.

Placing Orders

There is NO minimum order policy. However, if you intend to order at a quantity which exceeds the availability of stock, please contact order@wocamellia.ca.
At all times, prices are effective on the date of your order only.
Please ensure that all orders are accurate prior to finalizing and submitting them online. Please double check your shipping address before final confirmation. We are not responsible for incorrect address provided by you, or for any resulting delays or extra shipping fees if this occurs.
Once an order has been confirmed, we will not accept any additions or deletions.
We will notify our customers for out-of-stock items. If we do not hear back from them within 2 business days, their orders will be shipped as-is, and the balance will be refunded to them by the original method of payment. Out-of-stock items are NOT automatically shipped later when the stock is replenished, but must be reordered at that time. Regular ordering policies will apply.
Once placed, your order is typically shipped within 2 to 4 business days.
Order cancellations are accepted within 24 hours of purchase. Please send email to order@wocamellia.ca.
We reserve the right to modify, reject or cancel your order whenever it becomes necessary. If we cancel your order and have already processed your payment, we will give you a refund equal to the amount you paid. You agree that it is your responsibility to monitor your payment instrument to verify receipt of any refund.
We must be notified should additional insurance for shipping be required when placing your order. Without notification, we ship your products without insurance.

Goods and Services Tax (GST) and Harmonized Sales Tax (HST) in Canada

All GST/HST are charged based on shipping address.
For customers in Canada, GST/HST will be charged with shipping address as follows:

Alberta – 5% GST

New Brunswick – 15% HST

Newfoundland & Labrador – 15% HST

British Columbia – 5% GST

Manitoba – 5% GST

Northwest Territories – 5% GST

Nova Scotia – 15% HST

Nunavut – 5% GST

Ontario – 13% HST

Prince Edward Island – 15% HST

Quebec – 14.975% GST & QST

Saskatchewan – 5% GST

Yukon – 5% GST

If you are a non-resident customer making purchases and getting local delivery while in Canada, you will have to pay the GST/HST and applicable provincial sales taxes.
If you live outside Canada and make purchase with international shipping address, you do not have to pay GST/HST.

Customs, Import Duties and Taxes Charged on International Orders

If you purchase products from us for delivery to a destination outside Canada, your purchase may be subject to customs, import duties and taxes applied by the destination country. You are responsible for paying any such duties or taxes that may apply. Please contact your local customs office for more information before making a purchase. We are not responsible for the payment of any such duties or taxes and are not liable for any failure by you to pay them.

Payments
We accept the following payment methods on our Sites:

Credit Card – your billing address must match the address registered with your credit card;
PayPal – once you finalize and submit your order, you will be automatically redirected to the PayPal website in order to make your payment; and
INTERAC Email Transfer (Canada only) – please send payment to wolifeinc.ca@gmail.com via online banking (the email has registered for INTERAC Auto-deposit, hence your secret Q&A is not required).

When you provide us with your payment information, you authorize our use of and access to the payment instrument you have chosen to use. By providing us with your payment information, you authorize us to charge the amount due to this payment instrument.

If we believe your payment has violated any law or these Terms and Conditions, we reserve the right to cancel or reverse your transaction.

Shipping and Delivery

You will be required to pay delivery charges in addition to the price for the products you purchase.
You are required to provide us with a complete and accurate delivery address, including the name of the recipient. We are not liable for the delivery of your products to the wrong address or wrong person as a result of you providing us with inaccurate or incomplete information.
All orders are shipped from Vaughan, Ontario, Canada. We ship our orders via the following carriers but not limited to: Canada Post, Chit Chat, or BuyShip. We have the right to change the shipping agent for your order.
When you purchase goods from our Sites, the products will be delivered by standard delivery or regular post (without tracking) through one of the following methods:
To Markham, North York, Richmond Hill and Vaughan: by regular ground post or standard delivery on Thursdays and Saturdays; flat rate is CAD 5.
Other Canadian addresses: by regular ground post of 5 to 7 business days.
International addresses: by regular air mail of 14 to 21 business days.
Tracked shipping anywhere within Canada is CAD 8 in addition to regular ground post fee.
Tracked shipping anywhere in the United States is CAD 10 in addition to regular air mail fee.
Tracked shipping anywhere in the world is CAD 20 in addition to regular air mail fee.

The shipping cost is calculated online, which is based on weight and volume calculations. We reserve the right to change the shipping charges; but if this occurs, you will be contacted for approval before your order is processed.
Shipping of products will take place as soon as reasonably possible, depending on the delivery method selected. Delivery times may vary due to unforseen circumstances. Please note that delivery times may or may not include weekends and statutory holidays.
We take no responsibility for any losses, damages or delays that may occur.
We must be notified by email at order@wocamellia.ca should additional insurance for shipping be required when placing your order. Without notification, we ship your products without insurance.
If you call the carrier to re-direct your parcel to another address, or if your address is input incorrectly or missing information, and requires the carrier to update the information, there will be a charge of between CAD 10 and CAD 15 per box that will be billed to the customer.
We will not be held responsible for refunding the cost of freight on any orders that are delayed for reasons beyond our control.
For environmental reasons, packing slips will not be shipped with any order. Customers are encouraged to use a copy of the emailed invoice as a packing slip instead.

Refunds and Returns

All orders must be checked immediately upon receipt so that any discrepancies may be addressed.
The following products are non-returnable, non-exchangeable, and non-refundable:
All WO LIFE and WO CAMELLIA sample products
All WO LIFE and WO CAMELLIA products on final sale
All WO CAMELLIA skincare products
Products that have been used, mixed, or altered in any manner whatsoever.
Products that are not listed above can be returned for a refund under one of the circumstances:
If there has been a mistake on the part of WO LIFE INC.: you may request us to send the correct products to your address by email at order@wocamellia.ca, or request for refund – the products concerned must be returned to us intact (unopened and unused) and in its original packaging within 15 business days after the Return Authorization Number is issued in order to qualify for a refund. The refund amount will be the product price you paid for the goods (shipping and HST not included);
Returns due to subjective reasons (where there has been no mistake on the part of WO LIFE INC.): the products concerned must be returned to us intact (unopened and unused) and in its original packaging within 15 business days after the Return Authorization Number is issued in order to qualify for a refund. The refund amount will be the cost of goods, less 20% restocking fee or a minimum of $10 (whichever is greater); or
Products which are authorized for return and refund, but are received by us beyond the period of 15 business days after the Return Authorization Number is issued: the refund amount will be the cost of goods, less 30% restocking fee or a minimum of CAD 10 (whichever is greater).
If the returned products have no quality issues, but when received by us the returned products are damaged, we are unable to issue a refund for the products concerned.
Returns and refund, if authorized, will take place as follows:
Before any returns and refund take place, all returns request must be made by email to order@wocamellia.ca within 15 business days after receipt of the products in order to be authorized by WO LIFE INC. for a Return Authorization Number for the product concerned. In the email request, a photograph of the product should be sent with your Order Number (printed on the Order Confirmation or Shipping Invoice) and the Return Authorization Number.
When packing for the product return, the statement “Products Returning to WO LIFE INC.” must be stated on the package, and the Return Authorization Number must be clearly marked on the outside of the box. You are responsible for all return packaging and shipping cost. There is no refund on your return freight.
Refunds will be processed in the manner in which the order was paid. If the price of the returned product is CAD 10 or less, a shopping coupon of the refund amount will be sent to the customer instead.
Refunds or credits for any reason can take up to 1 month to process, depending on the volume of returns. From the date you receive our credit memo by email, refunds may take up to 8 to 10 business days for your financial institution to process before appearing on your statement.
We reserve the right to modify, reject or cancel your order whenever it becomes necessary. If we cancel your order and have already processed your payment, we will give you a refund equal to the amount you paid. You agree that it is your responsibility to monitor your payment instrument to verify receipt of any refund.

Governing Law and Jurisdiction

These Terms and Conditions and your use of our Sites shall be governed in all respects by the laws of Canada and the Province of Ontario, Canada. You agree that jurisdiction over, and venue in, any legal action or proceeding directly or indirectly arising out of or relating to our Sites (including but not limited to the purchase of WO LIFE INC.’s products) shall be brought solely in the Federal or Provincial courts of competent jurisdiction sitting in Ontario, Canada.

To the extent that anything in or associated with WO LIFE INC. is in conflict or inconsistent with the Terms and Conditions, the Terms and Conditions shall take precedence. Any cause of action or claim you may have with respect to our Sites (including but not limited to the purchase of WO LIFE INC.’s products) must be commenced within six (6) months after the claim or cause of action arises. Failure of WO LIFE INC. to insist upon or enforce strict performance of any provision of the Terms and Conditions shall not be construed as a waiver of any provision or right. Neither the course of conduct between the parties nor trade practice shall act to modify any of the Terms and Conditions. WO LIFE INC. may assign its rights and duties under the Terms and Conditions to any party at any time without notice to you.

Severability
If at any time any of the provisions set forth in these Terms and Conditions are found to be inconsistent or invalid under applicable laws, those provisions will be deemed void and will be removed from these Terms and Conditions. All other provisions will not be affected by the removal, and the rest of these Terms and Conditions will still be considered valid.

Modifications
WO LIFE INC. reserves the rights at any time to change the Terms and Conditions. These Terms and Conditions may be amended from time to time in order to maintain compliance with the law and to reflect any changes to the way we operate our Sites and the way we expect users to behave on our Sites. Any enhancements, additions or modifications to the contents on our Sites will be subject to the Terms and Conditions. WO LIFE INC. may deliver notices to you by means of email, a general notice on our Sites, or by other reliable methods to the address you have provided regarding any changes to this Agreement.
